“Supplier” means any person, company, or corporation or Government Instrumentality (including any authorised representative) that supplies or agrees to supply the Goods to the Purchaser.
  2. Any Terms and Conditions of the Supplier’s acceptance of this order that deviate from, or are inconsistent with, these Terms and Conditions are expressly excluded.
  3. Any statements by the Supplier that the Supplier’s terms and conditions shall prevail are expressly excluded.
  4.  The Purchaser accepts the Goods only on the condition that these Terms and Conditions apply to the contract.
  5. The Supplier shall deliver the Goods strictly in accordance with the shipping instructions and dates required as indicated on the Purchase Order. Delivery is free into store unless otherwise indicated.
  6. The Goods must be accompanied by a delivery docket which shall quote the Order Number.
  7. The title to the Goods shall remain with the Supplier until the Goods are formally received and acknowledged by the Purchaser at the location stated in the Order.
  8. The time specified on the Order is of the essence of the contract, and the Supplier agrees to indemnify the Purchaser for any extra expenses or damages incurred by the Purchaser as a consequence of the Supplier failing to supply the Goods by the due date.
  9. If the Goods are not delivered by the required date, the Order may be cancelled in respect of such undelivered Goods without incurring charges in relation to such cancellation.
  10. The Order is placed subject to the Purchaser’s written acceptance of such samples, prototypes and technical documentation as may be requested, at no additional cost.
  11. The Supplier warrants that the Goods supplied will comply with specifications previously supplied or made available, as applicable.
  12. Prices on the Order are fixed unless agreed otherwise. Any variation to the prices quoted on the Order must be notified by the Supplier and accepted by the Purchaser in writing.
  13. The Supplier warrants that the Goods supplied will be of acceptable quality and comply with the relevant Australian Standards or applicable legislation, including but not restricted to Prescribed Items, Consumer Product Safety Standards and electromagnetic compatibility (EMC).
  14. Where the Purchase Order instruction is ‘Direct Delivery to Site’, and the Site is not a Lawrence & Hanson Group Pty Ltd site, the Supplier must notify the Purchaser in writing on the day of delivery and provide documentation verifying delivery, such as a signed delivery docket.
  15. Unless otherwise specified by any other written agreement, the payment term between the Purchaser and the Supplier is 90 days.
Overseas Suppliers shall supply Goods on DAP (Delivered at Place) unless otherwise agreed in writing.
  16.  In the absence of any other written agreement between the Purchaser and the Supplier, these Conditions shall constitute the framework contract governing the relationship between the Purchaser and the Supplier and shall prevail over any inconsistent terms or conditions.
  17. The Supplier hereby undertakes that, as at the date of acceptance of this Order, neither the Supplier nor any of its directors, officers or employees has offered, promised, given, authorised, solicited or accepted any undue pecuniary or other advantage of any kind, or implied that the Supplier or they will or might do any such thing at any time in the future, in any way connected with the Order. The Supplier further undertakes that it has taken reasonable measures to prevent its subcontractors, agents and other third parties subject to its control or determining influence from doing so.
  18. The Supplier hereby agrees that, at all times in connection with and throughout the course of the Order and thereafter, it will comply with all applicable laws and regulations relating to the prevention of bribery and corruption. The Supplier further agrees to take reasonable measures to ensure that its subcontractors, agents and other third parties subject to its control or determining influence comply with all such applicable laws and regulations.
